The Vice President/Executive Director - EAG is charged to drive revenue and provide support as an ESOP Subject Matter expert to Relationship Managers, Bankers and underwriters across deal execution, risk and portfolio management and marketing.Facilitate the review of external referrals to the EAG from outside advisors in conjunction with the appropriate markets/bankers.

Participate in customer and prospect meetings to introduce and educate companies on ESOP transactions and related liquidity strategies.

Be visible in the external marketplace; conference attendance and presentations & Networking with various ESOP referral sources to continue to foster deal flow.

Partner with bankers and underwriters in the review/underwriting of ESOPs for newly established ESOPs as well as second-stage, restructures, and renewals of existing ESOP deals.

Preparation and presentation of financing feasibility and debt capacity studies analyzing various ESOP structures and comparing those to traditional leveraged recapitalizations. Model includes, debt capacity analysis, proceeds to shareholders, ESOP deduction analysis, cash flow analysis and collateral analysis

Review of legal documents on existing ESOP deals to ensure appropriate ESOP reps and warranties are included as well as covenant review to ensure accurate accounting for ESOP related add-backs and off-balance sheet liabilities are accounted for.

Working with EAG Associates to prepare detailed financial models analyzing proposed transactions and structuring alternatives. Models will be used for the purposes of assisting credit partners in underwriting and structuring financings offered to clients and prospects as well as identifying ESOP-specific areas of risk to be managed.

Assist in managing and conducting ESOP-specific business and legal due diligence in the execution of ESOP transactions.

Conduct periodic reviews of ESOPs in support of the relationship teams' extension of credit exposure to ESOP owned companies.

Practice Management; Assist in the development of internal policies (legal and credit) for ESOP related transactions.

Requirements:Bachelor's degree is required

7 to 10+ years corporate or investment banking experience with strong corporate finance/credit background.

Direct experience working with ESOP transactions from a technical standpoint (valuation, structure/design, financial modeling, and accounting).

Ability to work with Senior Bankers to help manage and execute on new transaction opportunities that come into the EAG from all over the country

Strong business development acumen. Illustrated ability successfully identifying marketplace opportunities and influencing/partnering with internal constituents: Relationship Manager, Bankers and underwriters to drive revenue.

Ability to identify and assess credit transaction risks and have knowledge of credit policies and processes.

Knowledge of credit underwriting and structuring. Position will regularly collaborate with credit team on analysis, structuring and documentation of credit requests.

Excellent problem solving, oral and written communication skills

Ability to be a highly motivated, productive team player. Partnership skills are essential as work will often overlap with relationship management team, credit partners and at times industry partners.

Previous participation in a Commercial Banking or Investment Banking Analyst Training Program preferred

Highly organized, detail-oriented, and proactive

Strong computer proficiency with knowledge of Excel, PowerPoint, and Word

Series 79 and 63 licensed (or must obtain)
