Job Description

Block (formerly known as Square) is seeking an exceptional attorney to manage international corporate governance. If hired, you will play a key role in ensuring Block’s compliance with the laws and regulations in non-U.S. jurisdictions, including the APAC countries where Block operates (including for the newly acquired Afterpay business), will coordinate and prepare for the relevant international board meetings and approvals, will manage governance requirements for our regulatory licenses and will have the opportunity to build out new systems and procedures and scope new jurisdictions for Block’s international expansion.

This role can be based in San Francisco where our Square offices are located or remote on the West Coast. We are looking for a highly adaptable, organized and self-motivated individual who can handle fast-paced projects independently!

You Will:

  • Coordinate international board meetings and prepare pre-read deliverables, draft minutes, keep on top of and document governance requirements in the relevant jurisdictions and ensure that such requirements are met at each meeting (including for any new jurisdictions as Block expands)

  • Manage ongoing requirements associated with the secondary listing of Block shares on the Australian Stock Exchange in connection with Block’s acquisition of Afterpay Limited.

  • Work cross-functionally on a variety of legal matters to support business development and innovation in our international markets

  • Manage international filings, including with respect to audits and annual report filings

  • Ensure ongoing compliance with corporate governance requirements for our international financial licenses

  • Liaise and coordinate with product counsel to ensure compliance with governance requirements under our regulatory licenses

  • Provide support for cross-border M&A transactions, capital contributions, and other special corporate projects.

  • Manage projects effectively, with a team-oriented approach

Qualifications

You Have:

  • 6+ years of relevant corporate experience at a major law firm and/or in-house experience, with experience working with large public companies (a combination of both in-house and law firm practice experience is even better!)

  • Familiarity with non-U.S. corporate governance requirements; experience with the broader APAC region is a plus

  • Excellent research and writing skills and project management ability

  • Ability to be the primary in-house attorney on certain corporate projects, including handling multiple simultaneous transactions

  • J.D. and licensed to practice law in the U.S. or a law degree and admitted to practice law in Australia

  • Superior interpersonal skills, ability to be nimble and team-first attitude

  • Sound and practical business judgment

  • Strong decision-making abilities and attention to detail, sometimes under time pressure
