Job Description

Leads all phases of mergers and acquisitions (M&A), investments, joint ventures, and divestitures for Fortune Brands Home & Security (FBHS) and our operating companies. This role will direct and manage transaction strategy and planning, target selection and evaluation, business case and valuation, due diligence, negotiations, and overall transaction execution. DUTIES AND RESPONSIBILITIES:

  • Lead the evaluation and execution of M&A and investment opportunities and other key initiatives in support of the strategic priorities of FBHS and its operating companies.

  • Support FBHS and its operating companies in the development of robust acquisition strategies. Identify and screen potential acquisition targets working with key stakeholders in the business. Help build and maintain a robust M&A pipeline.

  • Develop business cases and financial models working with cross-functional teams to determine strategic fit and overall attractiveness of an acquisition or investment opportunity.

  • Lead comprehensive valuation analysis in support of M&A and investment activities. Use variety of valuation methodologies and techniques including discounted cash flow, LBO, EPS accretion and comparable transaction multiples to determine appropriate value.

  • Manage due diligence process and direct all related activities in close coordination with a cross functional team of internal and external stakeholders. Manage process and track key deliverables. Conduct strategic review of diligence findings with executive team.

  • Prepare and help negotiate offers. Lead or support the development, negotiation, and review of transaction-related structures, definitive agreements, working capital targets, and post-closing adjustments.

  • Manage third party relationships including investment banks, private equity firms, venture capital firms, market research groups and others to support M&A and investment activities.

  • Monitors industry M&A climate and outlook; identifies specific trends and important factors to help guide future M&A considerations and decisions. Keeps management informed regularly.

  • Support annual corporate strategic planning process by providing specific industry, business or financial analysis and recommendations for review by the FBHS senior leadership team.

  • Develop, maintain and continuously improve internal tools and process used to support M&A and investment activities. Apply best practices to improve efficiency and effectiveness.

  • Coach, mentor and train other team members. Help improve the overall knowledge of the M&A process and increase the acumen across the broader FBHS organization.

REQUIRED QUALIFICATIONS:

  • Bachelor’s degree in Business Administration, Finance, Accounting, Economics, or other relevant degree. MBA or equivalent preferred.

  • Minimum of 10 years of relevant experience in investment banking, private equity, venture capital, and/or corporate development.

  • Demonstrated track record of successfully leading and managing M&A transactions from origination through completion. Experience executing venture investments a plus.

  • Industry background is open, although candidates with prior building products or consumer products exposure viewed as a plus.

SKILLS AND ABILITIES:

  • Broad understanding of M&A transactions and process including various deal structures. Working knowledge of M&A tax implications and considerations.

  • Strong understanding and implementation of M&A valuation methodologies with advanced financial analysis and modeling skills. Ability to analyze complex financial statements and to develop, evaluate, and present detailed financial models.

  • Experience developing and evaluating business cases including leading cross functional teams to determine overall attractiveness and strategic fit.

  • Strong quantitative and analytic skills with the ability to accurately assess complex situations and synthesize information to provide meaningful conclusions and recommendations.

  • Advanced project management skills with the ability to manage multiple priorities under deadline; comfortable performing in a fast-paced, dynamic environment.

  • Advanced skills in Microsoft Excel (for business case, valuation and financial modeling purposes) and PowerPoint (for development of presentations).
