Whether focused locally, regionally or globally, Legal Operations professionals develop plans, oversee programs and processes and maintain records. They review legal data, provide policy information and legal advice across the organization and manage a wide range of legal business matters.Overview:Dell is seeking a Board Coordinator to provide logistical and administrative support in all matters related to Board and Committee meetings as well as for other corporate and administrative projects. This position will report to Dell’s Legal Director for Global Corporate Governance, Tax & Regulatory Matters.The ideal candidate will be a self-starter with outstanding written and verbal communication skills necessary to work with legal colleagues, senior management and the Board. Must have a demonstrated ability to handle confidential information, problem solve and operate effectively in a diverse and fast-paced environment. This position requires good judgment, integrity, high energy, flexibility, and an ability to prioritize, organize and provide services to clients with deadlines.Principal Duties and Responsibilities:

Plan and organize meetings of the Board of Directors and Committees of the Board including venue selection, catering needs, meeting room setup and related matters; manage and direct third-party vendors supporting meetings

Maintain the Board meeting calendar, issue meeting invitations, finalize agendas for meetings, set communication deadlines and requirements for meeting materials and issue ad hoc communications to the Board as needed

Work closely with senior leaders and their staffs regarding development of meeting materials and presentations

Maintain official Board records including attendance, resolutions, minutes and related correspondence

Work closely with Board members and their staffs to book air travel and ground transportation as needed

Provide administrative support for Board meetings including orientations and training

Process Board member requests for expense reimbursements

Maintain close and highly responsive relationships with the core team supporting the Board

Working with the legal department supporting projects related to corporate, as well as government and community affairs

Qualifications:

Bachelor's degree or equivalent combination of education and experience from which comparable knowledge and skills may be obtained, minimum 3 years of experience in an executive assistant, paralegal or similar role with equivalent or greater responsibilities

Experience working on corporate governance matters in a public company preferred but not required

Expertise in PowerPoint, Excel, SharePoint, Outlook and Word; familiarity with Diligent Boards or other board reporting portal a plus

Outstanding written and verbal communication skills

Demonstrated ability to multi-task, work efficiently in a high-energy environment, and collaborate effectively

Advanced organizational skills necessary to efficiently prioritize and complete a variety of tasks

Ability to exercise independent judgment
