ICF is focused on doubling revenue – from $1.5B to $3.0B – over the next five years through a combination of organic and acquisitive growth. Consequently, ICF is seeking a Vice President to support its bold growth ambitions with a primary focus on M&A integration. This position may also support the execution company-wide of strategic initiatives managed through the firm’s corporate PMO. This newly formed role offers the right leader the opportunity to help shape the strategic direction of the firm through the development and execution of best practices for merger integration and other strategic initiatives. This position, which will be based in ICF’s global headquarters located in Fairfax, VA, will report to our CFO and work closely with ICF’s Executive Leadership Team.Major Duties/Responsibilities:M&A Integration Key Objectives

Ensure integration activities (front and back-office) are well planned, comprehensive, and implemented in an efficient and effective manner.

Ensure that the strategic objectives of acquisitions are clearly defined and well understood by all related stakeholders. Monitor progress to help ensure strategic objectives are obtained, highlighting the status of efforts and providing recommendations to executive management for corrective action when required.

Facilitate rapid decision making by anticipating problems and escalating issues when required and making recommendations for course corrections as appropriate

Ensure the due diligence conclusions are appropriately considered in integration planning and be a key influencing member of the core deal team

Ensure integration standards are high on all acquisitions, and integration teams are fully resourced and supported

M&A Integration

Engage proactively in the transaction due diligence process and work closely with Corporate Development, the Operating Group and cross-functional leaders to develop a comprehensive due diligence and integration program for each transaction

Partner with the C-Suite, SVP of Corporate Development, EVP of Corporate Strategy, and respective Group Leader to define the transaction rationale, value drivers, synergies and risks as a part of the due diligence process

Lead pre-transaction integration planning and post-transaction integration execution to ensure achievement of transaction rationale, value drivers and synergies as well as mitigation transaction risks

Develop a formal integration playbook for each transaction in collaboration with the Executive Steering Committee and cross-functional integration teams (ICF and target company) – and ensure the integration plan does not create unnecessary hurdles for achieving the overarching objectives

Develop an integration budget for each transaction and monitor it regularly

Communicate transaction rationale, value drivers, synergies and risks as well as the integration plans to the appropriate stakeholders (ICF and acquired company) to ensure alignment and focus on the appropriate outcomes

Serve as a single point of contact for all M&A integration stakeholders and establish strong relationships with key stakeholders to forge strong partnerships and secure sponsorship

Help the acquired company management team set priorities, engage appropriate resources and navigate ICF’s operating model

Implement a formal process and set of metrics to monitor and manage post-transaction progress and success, including the establishment of an Executive Steering Committee (ICF and target company) and a mechanism for timely communication and resolution of key issues and opportunities to ensure transaction value does not diminish

Direct program management efforts for all M&A integration efforts, ensure associated milestones are met on time and alter approach as needed based upon a real-time assessment of progress against plan

Develop standardized processes, procedures and plans to drive all M&A integration efforts

Develop a standard approach to assessing post-integration transaction success

Conduct formal post-integration transaction assessments, document transaction success and lessons learned and refine due diligence and integration processes, procedures and plans to help ensure optimal outcomes in the future

Exhibit cross-functional leadership and delivery in a matrixed organization through collaboration and building of effective relationships

Corporate Level Strategic Initiatives

Develop a deep understanding of ICF’s business, key drivers of shareholder value creation and how they influence ICF’s strategy and business model design

Work with the C-suite, Group Leaders and other members of the Executive Leadership Team to help define and support the execution of key company-wide strategic initiatives managed by the firm’s PMO, including identification of goals, success metrics and threats/risks associated with individual initiatives, assessment of specific value creation opportunity(ies) associated with individual initiatives, prioritization of individual initiatives and development of detailed plans (including necessary resources) to execute individual initiatives (including a master plan of the comprehensive set of initiatives)

As required, assist with implementing a formal process to monitor and manage the success of key strategic initiatives, and a mechanism for timely communication and resolution of key issues and opportunities to ensure objectives are achieved

As required, direct program management efforts for key strategic initiatives, ensure associated milestones and objectives are met on time and alter approach as needed based upon a real-time assessment of progress against plan

Minimum Education and Experience:

Bachelor’s degree in a business discipline

10+ years of M&A related experience, with a heavy emphasis on integration
