DescriptionAssociate, Global Transaction TaxAlvarez and Marsal Global Transaction Tax ("GTT") is seeking highly qualified JD, Tax LLM as well as MsT and MACC (Tax concentration) students preferably with a background in accounting for full-time positions in our GTT practice. We are seeking students interested in federal and state tax, international tax, mergers and acquisitions, and corporate consulting. Previous or ongoing Tax coursework and JD/LLM/ MsT/MACC (Tax concentration) track is required.What do we do?GTT professionals provide corporate and private equity buyers with a broad continuum of transactional tax advisory services to support mergers, acquisitions, carve outs, investment and financing structures, disposition alternatives and post transaction activities. Assisting clients before, during and after the transaction, our GTT practice works with clients across corporate functions to analyze and evaluate the tax profile and to implement planning designed to help meet each organization's global goals, strategies and business objectives. As an associate with GTT, responsibilities may include:

Performing tax due diligence, including reviewing target's historic tax profile, planning, tax examinations, acquisitions/dispositions, and filing history to assess potential risks and opportunities

Using the due diligence process to identify opportunities for further tax efficiencies

Structuring transactions in a tax-efficient manner

Reviewing and evaluating significant tax attributes, credits and incentives

Reviewing and commenting on purchase agreements and disclosure schedules

Evaluating potential acquisition structures

Modeling transaction scenarios

Identifying matters to be addressed post-closing, including integration related risks and opportunitiesHow you'll contribute

Develop and deliver quality tax planning approaches by providing timely and responsive services and work product that meets and/or exceeds client expectations;

Perform due diligence, including review of tax returns, financials, and other documentation to evaluate potential tax risks and opportunities;

Review and comment on tax aspects of financial models, purchase agreements, and structuring calculations;

Take ownership of assigned workstreams, including creating and preserving relevant diligence work products, ensuring supervisors can timely review and provide constructive feedback of deliverables, and otherwise proactively responding to changes in workflow;

Coordinate with federal and international tax team members, as well as financial and operational due diligence team members, to timely deliver highest quality integrated work product;

Begin developing and taking responsibility for managing client relationships by communicating and responding to client expectations, gathering data relevant to the engagement, and tailoring project deliverables accordingly.Who will you be working with?We are not a typical tax firm. Currently pursuing a JD, LL.M (Taxation) Master of Science in Taxation or Master of Accounting with an emphasis in Tax.

Pursuing (or intent to pursue) CPA or membership to a State Bar

Excellent verbal and written communication skills and ability to articulate complex information

Strong analytical skills

High proficiency in spreadsheets

Ability to simultaneously work on several projects and effectively manage deadlines

High motivation to learn and growThe annual base salary range is $110,000 - $125,000, commensurate on experience. In addition, AandM offers a discretionary bonus program which is based on a number of factors, including individual and firm performance.
