The Senior M&A Counsel will act as a subject matter expert and provide guidance on M&A and complex transactions, both domestically and internationally.Duties & Responsibilities:

Leading and developing the Legal team focused on mergers, acquisitions, divestitures, select distribution agreements, and other complex commercial transactions.

Strategizing with and supervising outside and in-house counsel on issues related to all aspects of mergers, acquisitions, other business combinations, divestitures, select distribution agreements, and other complex transactions.

Participating directly and regularly in efforts related to the understanding of enterprise-wide business strategy and goals, especially those related to proposed transactions.

Partnering closely with and supporting the Business Development team as needed.

Participating in and managing drafting, editing, negotiating, reviewing, and interpreting agreements and contracts and proactively handling matters through to resolution.

Running the legal aspects of mergers, acquisitions, divestitures, select distribution agreements, and other complex commercial transactions, including preparing and reviewing documentation for various deals.

Participating in and managing the development and implementation of strategies related to business development activity and other complex, enterprise-wide issues.

Working closely with the Legal Operations team in its efforts to understand and control spending on outside counsel services. Timely preparing and providing (as needed or requested) clear, concise communications.

Providing timely advice and counsel to the business on laws, regulations, and Stryker policies, in particular as related to mergers, acquisitions, divestitures, other business combinations and antitrust.

Initiating, developing, providing and overseeing the implementation of internal processes as well as in-house training and education.

Collaborating and communicating with colleagues, senior management, outside counsel, and other stakeholders on key strategies and issues.

Assisting on other matters as needed.

Minimum Qualifications

Law degree and admission to practice law.

Minimum 10 years applicable professional experience; prior professional experience considered (can be a combination of law firm and in-house; in-house experience preferred but not required).

Demonstrates excellent judgment, professional demeanor, business acumen and executive presence.

Demonstrates an appreciation for and understanding of Legal’s role (and acceptable risk) in the context of being part of a multi-billion-dollar global medical technology company.

Possesses excellent organizational skills and is able to manage numerous projects and conflicting demands in a fast-paced environment.

Possesses excellent interpersonal skills and the ability to communicate at all levels, including senior executive level, of a corporate organization.

Maintains confidentiality of highly sensitive and confidential information.

192,400 - 425,100 salary plus bonus eligible + generally eligible for short-term and long-term financial incentives + benefits.  Actual minimum and maximum may vary based on location.  Individual pay is based on skills, experience, and other relevant factors.
