Paralegal

Our client, a privately held American investment management firm, is seeking a Paralegal in Midtown, Manhattan. The hours are 8:30am-5:30pm three days a week in the office with two days remote. This is a unique opportunity to get involved with one of the most profitable firms and work closely with a small team.Responsibilities:Manage, review, and draft bylaws, resolutions, meeting minutes, and organizational charts.Create meeting agendas and coordinate necessary materials.Ensure adherence to U.S. federal, state, and local regulations, including preparing various SEC filings.Monitor legal and regulatory changes impacting the company and support compliance implementation.Maintain and update the firm's internal compliance manual, policies, and procedures, and oversee scheduling and preparation for mandatory training sessions.Update the firm's Restricted List and related trading rules within the trading platform.Assist with the initial review and organization of data rooms, as well as summarizing documents related to investments, financing, and other corporate transactions.Perform due diligence as requested, draft standard closing documents, and compile closing binders.Support Capital Calls, Distribution Notices, and other fund-related capital activities.Draft, review, and oversee corporate contracts and agreements.Track and manage contract deadlines, renewals, and compliance requirements.Conduct legal research and produce detailed summaries.Qualifications:BA/BS degree required; paralegal certification preferred 3+ years of corporate paralegal experience, preferably out of financeStrong knowledge of regulatory compliance and corporate lawProficient in Microsoft Office Suit and legal softwareExcellent attention to detail and great communication skillsCompensation/Benefits:Up to $110k base depending on experience plus bonusCompetitive medical dental and vision plans401k with matchCommuter benefitsBeacon Hill is an Equal Opportunity Employer that values the strength diversity brings to the workplace.
